Reinstate your Texas LLC after involuntary forfeiture and renew your right to transact business in Texas. Texas LLC's must file annual Texas Franchise Tax Reports to avoid forfeiture. In order to reinstate a Texas LLC, delinquent reports must be filed and any taxes and penalties paid, and an application for reinstatement filed with the secretary of state.
PACKAGE INCLUDES:
- Prepare delinquent Texas Franchise Tax and Public Information Reports (3 max, no tax due only), Tax Clearance Letter Request, and Penalty Waiver request (generally good for one penalty), to be filed with the Texas Comptroller.
- Prepare Application for Reinstatement, to be filed with the Texas Secretary of State.

Are you filing the Texas LLC Reinstatement docs on my behalf and how much are state fees to reinstate?
With Webfile number and forfeiture under 2 years, I can e-file Texas franchise reports on your behalf. All other docs are prepared to be mailed. Late penalties for franchise tax reports are $50 for each delinquent tax year. The Application for Reinstatement fee is $75.
How do I find my Webfile number?
Your Webfile number is printed on correspondence from the Texas Comptroller. If you do not have your Webfile number, you can call (800) 442-3453. This automated system can provide a Webfile number by mail if you can provide confidential information from a previously filed report.
I need more than 3 delinquent franchise reports. How do I order?
There is an add on you can purchase each additional franchise tax report. You must choose the quantity you need when you order. Please reach out first to confirm amount.

I need to change my Registered Agent and/or the registered agent address. Is that possible?
Yes, although the change won't apply to the reinstatement and requires a separate filing. I will prepare an appropriate statement for you to mail, along with a consent form to be signed by the new agent. The state fee is $15.00. Choose the New Registered Agent add-on when ordering the gig.
Can you provide more information regarding your delivery timeline and what you need from me to complete the order?
Order requirements are provided upon purchase and should be filled out completely. If there is missing information, I will follow up with questions. If you do not respond in a timely manner, delivery will be made based on the information provided (with detailed instructions).
How will you deliver my documents and how do I sign them?
I will provide PDF formats for all documents. For any documents filed with the state, you will print out and sign.
