Supporting Mortgage Tree Capital involved legal analysis at the point where capital decisions, property interests, borrower obligations, and investment expectations converged. I worked alongside transaction teams to uncover legal weaknesses before funds were committed and to resolve complications affecting existing financing arrangements. Each prospective deal required scrutiny beyond the headline financial terms. I investigated ownership structures, borrower authority, existing encumbrances, guarantees, collateral arrangements, and conditions that could affect the lender’s priority or ability to recover its investment. I negotiated and reviewed financing documents covering interest obligations, maturity provisions, prepayment, financial covenants, events of default, representations, indemnification, and enforcement rights. Particular care was given to ensuring that the documents matched the commercial understanding reached between the parties. Troubled transactions demanded a different approach. When payments stopped or contractual obligations were breached, I evaluated notices, account histories, security documentation, and borrower communications before advising on restructuring, negotiated workouts, collateral enforcement, or other recovery measures. I also addressed legal questions involving brokers, investors, title professionals, servicing relationships, confidentiality, and transaction disclosures. By identifying vulnerabilities at both the investment and recovery stages, I helped Mortgage Tree Capital preserve its rights while pursuing commercially workable financing opportunities.
